WeSabiWay.online provides a platform for buyers to interact with sellers in an organized and safe manner, we however do not participate nor broker the transactions neither do we collect money on behalf of any party. wesabiway.online, while we have provided you with the platform for these transactions plus tips to guide you, we however do not participate in the transactions nor are we

liable or responsible for its outcome.

Members: WeSabiWay.online is a partially members only site, to fully access the Great Benefit from this site, it is required that you become a member.

Marketers: All marketers must also be members and are entitled to all member benefits. Marketers are entitled to commissions in real time and can request for payment through their dashboard within approved time frame and payment threshold.

CSR – Corporate social responsibility: 5% of our earnings goes to charity. While wesabiway.online determines how the funds are utilized towards charity, we however are happy to welcome feedbacks and suggestions from you.

Advertiser Terms and Conditions

Interpretation to this Agreement includes:

In this Agreement:

“AD” means an advertisement on one or more wesabiway.online websites;

“ADVERTISER” means the person who engages in sales promotion through our site.

“ADVERTISING MATERIALS” means brand of advertisement in respect of an Ad including text, graphics, icons, images, contact details, and URL information;

“ADVERTISING SERVICES” in respect of the suitability and quality in the advert upload;

“AGREEMENT” means concurrence of two or more persons agreeing to Terms and Conditions in relation to advert placement by the Advertiser and accepted by wesabiway.online;

“BUSINESS DAY” means any working day which excludes Saturday or Sunday or a bank or public holiday in Nigeria;

“FORCHEBS ONLINE SERVICES ” means Forchebs Online Services.

“FORCHEBS ONLINE SERVICES WEBSITE” or “Site” means any website owned or operated by Forchebs Online Services which covers wesabiway.online;

“DEFAULT EVENT” means the events as listed below

“FORCE MAJEURE” means an event or circumstances beyond the reasonable control of a Party (without fault or negligence of that Party);

“FEE” means the fees and charges for everything listed either before service or after services set out for every services or purchase.

“IMPRESSION” means an appearance of an Ad on a wesabiway.online Website resulting from a person accessing that website;

“AD PLACEMENT” means an order for Advertising Service in the form of service or purchase time;

“INSOLVENT” means: The act of unable to debit as they become due to companies as applicable in winding up process.

“INTELLECTUAL PROPERTY” implies all intellectual property including all present and future registered and unregistered trademarks copyright, patent, designs, knowhow, semi-conductor or circuit layout, confidential information, inventions, discoveries and trade secrets.

“INTELLECTUAL PROPERTY RIGHTS” means any rights in Intellectual Property

“PUBLICATION DATE” means the arrangement of an advertisement described in the Ad placement & purchase by any person or persons corporate/government and their assigns.

WHAT THE ADVERTISER WILL DO

The Advertiser will:

Only place ads for vehicles which the Advertiser is legally entitled to sell; and

Obtain permission from the owner of Intellectual Property Rights in any third party material included in the Advertising Material.

Comply with the Police and Terms and Conditions of the wesabiway.online website(s).

WHAT THE ADVERTISER WILL NOT DO

The Advertiser hereby warrants that at all times. It shall give all necessary lawful and valid documents and shall not default under the relevant laws.

It is therefore illegal, totally unacceptable, defamatory, fraudulent, obscene unsuitable for people under the age of eighteen (18) years;

It is therefore an act of misleading or deceptive for any misrepresentation in this regard.

To avoid insertion of links to an external website without express approval which is subject to terms and conditions?

You are not allowed to place or upload more cars than agreed upon in any given slot

To enquire on the payment of processing or administrative fee, charge, cost payable for any product or other item or service advertised.

PUBLICATION OF ADS

On acceptance our company shall use the appropriate means to uphold the service and purchase on the terms and conditions of this Agreement.

The Advertiser warrants and agrees that

Our company’s ability to provide the Advertising Services is dependent upon the Advertiser and third parties performing their obligations. If our company is unable to provide the Advertising Services as a direct or indirect result of any act or omission of the Advertiser or any third party or Force Majeure the Advertiser will have no remedy against wesabiway.online in relation to any delay or any failure to provide the Advertising Services while every means upheld will be made to publish the advertiser’s Ad in the service and or purchase.

WeSabiWay.online may without notice or liability, refuse to publish, withdraw or terminate publication of an Ad if:

If the Ad is in breach of agreement or determines, in its absolute discretion, to refuse to publish, withdraw, amend or terminate the publication of an Ad.

Subject to the terms of the services or purchase, has absolute editorial control in relation to the publication of the Advertiser’s Ad, including, but not limited to the format, content, position and placement of the Ad.

If an Advertiser advertises more than one product or services then WeSabiWay.online reserves the right to block the account until just account adheres to our terms and conditions.

CHANGE REQUESTS

Any changes to the terms and conditions of this Agreement which may be required to implement the Change Request; and any impact which implementation of the Change Request is expected to have on the ability of wesabiway.online to perform its obligations in accordance with the services or purchase.

WeSabiWay.online will have no obligation to proceed with a Change Request until such time as both parties agree to terms and the Advertiser has paid any applicable Fee.

SERVICE LEVELS

The client acknowledges and agrees on mutual consent the Advertiser acknowledges and agrees that wesabiway.onlne makes no representation or warranty with respect to the time of accessibility or availability of the wesabiway.onlne website or the number of Impressions click through or like metrics.

 WeSabiWay.online provides no warranty to client that services generally available through the company’s website will be uninterrupted or error free the company agrees to use its reasonable endeavors to ensure that any disruptions to or a denial of access to the wesabiway.online Website will be remedied as quickly as possible.

WeSabiWay.online cannot and does not guarantee or warrant to the client Advertiser product or services available for purchase are available for downloading via the company’s sales point through the wesabiway.online Website or delivered via electronic mail through the company’s Website will be free of that manifest contaminating or destructive.

 

The company reserves the right to suspend, disable, cancel or terminate the Advertiser’s account with UseMyCar.com.ng without notice and may refuse to supply further services to the Advertiser or entities related to the Advertiser.

LIMITATION OF LIABILITY

Compliance shall be duly observed in relation to the other than as set out in this Agreement, and to the extent permitted by law, all implied and express warranties in respect of the Advertising Services are hereby excluded.

Advertising services as permitted under the relevant laws and our company shall be excluded of all claims or causes of action to attract any fees as compensation.

The Advertiser acknowledges and agrees that:

SUSPENSION OF ADVERTISING SERVICES

WeSabiWay online suspends the Advertising Services in the event of a Default Event by the client/Advertiser.

TERMINATION OF AGREEMENT

In case of default that cannot be remedied or correct in thirty days by the party in breach and on termination will cease to provide advertising services.

The Advertiser/Buyer/Client shall pay all outstanding charges as at when due.

Termination of this Agreement shall not attract any accrued rights or liabilities of a Party.

INDEMNITY

The Client/Advertiser/Buyer agrees to full indemnity and hold WeSabiWay.online harmless against any loss or damage.

OWNERSHIP AND LICENCE

The Advertiser/Client/Buyer hereby grants wesabiway.online a non-exclusive, royalty free, worldwide license to use, copy, perform, reproduce, display transmit and distribute the Advertising Material for the purposes of performing its obligations and achieving result on the agreed terms.

The Client/Buyer/Advertiser shall not release to the public any news release, advertising material, promotional material or any other form of publicity relating to the WeSabiWay.online without written approval.

VARIATION/AMMENDMENT

WeSabiWay.online may, in its absolute discretion, modify or amend these Terms and Conditions without notice to the Advertiser and such modification or amendment will be binding on the Client/Buyer/Advertiser at the expiration of the notice and such amendment shall be complied with by the Buyer/Client/Advertiser.

Entire Agreement

These Terms and Conditions of purchase/service/order and the Client/Buyer/Advertiser in respect of the Advertising Services and therefore supersedes all prior arrangements, undertakings, representation and warranties of the Advertising Service including any terms and conditions submitted by the Client/Buyer/Advertiser which are not set out in this Agreement.

Further Acts

Both parties agrees to do all things that may be necessary or desirable to give full effect to every part of this Agreement if asked in writing by the other Party to do so.

Assignment

The Client/Buyer/Advertiser shall not assign, transfer or otherwise dispose of, in whole or in part, his/her/its rights or obligations under this Agreement without the prior written consent of UseMyCar.com.ng

Sub-contractors

Forchebs Online Services may subcontract the performance of this Agreement or any part thereof.

Any provision of this Agreement considered as invalid, illegal or unenforceable in any respect of its validity, legality and enforceability of the remaining provisions will not be affected and such invalid, illegal or unenforceable provision is to be severed from the relevant agreement.

Waiver

Failure by either of the parties to uphold or delay in upholding any legal rights or remedy under this Agreement does not prevent its upholding.

Governing Law

This Legal Agreement is properly governed by and construed in accordance with the laws of the Nigeria and the Parties thereby submit themselves to the courts under Nigerian jurisdiction.

Buyer Terms and Conditions

Please read the terms & conditions in this Agreement carefully before accessing or using the Site and you agree to bind yourselves to the said terms and condition.

Copyright and trademarks

 

Copyright in the material and trademarks on this Site are owned by Forchebs Online Services and you agree not to infringe any intellectual property rights owned by Forchebs Online Services.

 

I hereby agree that information contained on this Site is for personal use only and may not be sold, redistributed or used for any public use commercial purpose (this includes but is not limited to the use of Buyer/Client/Advertiser contact details for unsolicited commercial correspondence). You may download material from this Site for your personal as against public or commercial use and you shall keep intact other proprietary notices.

I agree not to modify, copy, reproduce, republish, upload, post, transmit or distribute in any way any material from this or any other version of the Site including but not limited to code, images, advertising content, general content, pricing data, vehicle advertisements, advertiser details, user interface design and software. I shall not use this Site for any purpose that is unlawful or prohibited by these terms of use.

I further agree not to use data mining, robots, screen scrapping, or similar data gathering and extraction tools on this Site for establishing, maintaining, advancing, reproducing or informing as contained on our Site, your own website or in any other publication, except with our prior written consent.

 

I acknowledge and agree that information published by WeSabiWay.online is intended to provide general information in summary form on legal and other issues.

WeSabiWay.online does not endorse or recommend any of the products/purchase sales representative products advertised on its Site and Forchebs Online Services strongly recommends that prior to entering into any binding agreement with any of the Clients/Buyers/Advisers on the Site, that you obtain your own independent legal, accounting, financial, customers, mechanical, roadworthiness and usefulness of all opinions, advice, services, merchandise, vehicles, products and other information provided through the Site or on the Internet generally.

In no event will Forchebs Online Services be liable to you or anyone else for any decision made or action taken by you or anyone else in reliance upon any information contained on or omitted from the Site.

WeSabiWay.Online does not give guarantee to you of the continued availability of any particular vehicle or product advertised on the Site and will not be liable to you should a client/buyer have sold the vehicle at any time prior to removal of the advertisement from the Site.

WeSabiWay.online may provide links and pointers to Internet sites maintained by third parties from its Site. Such linked sites are not under the control of wesabiway.online and wesabiway.online is not responsible for the contents (including the accuracy, legality or decency) of any linked site or any link contained in a linked site but only as a convenience, and the inclusion of any link does not imply endorsement. The company will not be liable for any damages or loss arising in any way out of or in connection with or incidental to any information or third party service provided by any third party.

No guarantees as to the service

 

WeSabiWay.online provides no warranty to you that the services generally available its Site will be uninterrupted or error-free or that defects in the service will be corrected.

You may also change your login by contacting customer service.

I agree to immediately notify wesabiway.online of any unauthorized use of your login name or any other breach of security known to you.

No misrepresentations allowed. I agree that it is a condition on your use of the wesabiway.online Website, Pricing Service and of any other service provided by wesabiway.online or through the Site that you will not either through any act or omission mislead or deceive others.

General provisions

If any part of this agreement is held invalid, it shall be severed from this agreement and the remainder of this agreement will continue to be valid and enforceable.

Termination of this agreement will not end those provisions that are capable of surviving the ending of this agreement.

The laws governing this agreement will be the laws in Nigeria and you irrevocably submit to the exclusive jurisdiction of its Courts.
